The news
Email-security company Proofpoint will acquire Varonis for 49.75 dollars a share in cash, about 6.3 billion dollars, a 52 percent premium to Varonis's price before sale rumours began in June, according to the announcement filed with the SEC. Closing is expected in the first half of 2027, subject to approvals.
Why it matters
It is one of the largest security deals of the year, and the rationale is about controlling the data enterprise AI agents can access.
The details
Proofpoint chief executive Sumit Dhawan said that as AI becomes embedded across the enterprise, the data it can access determines both its value and its risk. Varonis, which bought AI-security startup AllTrue.ai in February, describes its mission as securing AI and the data that powers it.
Thoma Bravo is funding the deal with committed equity and debt, and Ontario Teachers' Pension Plan is investing in Proofpoint.
What we could not check
- Regulatory approval is pending.
- We did not review the full merger agreement.
